Two chemical M&A deals worth over 23 billion RMB completed in a single day

On the same day, two multinational giants, Johnson Matthey and Goodyear, respectively announced the sale of their businesses, with a total transaction value of more than 23 billion yuan.
Johnson Matthey sells catalyst technology business for 1.8 billion pounds
British chemical company Johnson Matthey announced on May 22 that it would sell its catalyst technology business to Honeywell for 1.8 billion pounds (about 17.4 billion yuan). The transaction is expected to be completed in the first half of 2026.
Johnson Matthey said that the catalyst technology business is a leader in the field of synthesis gas (methanol, ammonia, hydrogen, etc.) and has a strong sustainable technology portfolio. The transaction will bring it 1.6 billion pounds in cash income. After the sale of the business, the company will be reorganized into a more focused and streamlined enterprise focusing on clean air and platinum group metal services (PGMS).
Honeywell said on the same day that Johnson Matthey's catalyst technology business model complements Honeywell UOP (catalyst and process technology sales business) and can expand the latter's application range in the field of refining and petrochemical catalysts. In addition, with the expansion of its product portfolio, Honeywell will be able to provide comprehensive solutions for the production of low-emission key fuels for the first time, including sustainable methanol, sustainable aviation fuel (SAF), blue hydrogen and blue ammonia. According to Johnson Matthey, as of March 31, the total asset value of the catalyst technology business was 1.56 billion pounds, the basic EBITDA was 119 million pounds, and the basic operating profit was 92 million pounds. Under the terms of the transaction, Gemspring will pay Goodyear approximately $650 million (approximately RMB 6.3 billion) in cash at the close of the transaction to acquire Goodyear's chemical plants in Houston and Beaumont, Texas, and related research offices in Akron, Ohio. In addition, the transaction provides a long-term supply agreement.
